The website located at neighborhood.levelforward.co (the "Site") is operated by Level Forward, LLC ("Level Forward," "LFN," "we," "us," or "our"). The content, features, and services available through the Site are collectively referred to as the "Services."
THESE TERMS OF SERVICE ("TERMS") SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE AND OUR SERVICES. BY ACCESSING OR USING THE SITE, YOU ACCEPT THESE TERMS AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE SITE.
Level Forward Neighborhood (LFN) is a community-centered platform dedicated to the impact distribution of films and impact-minded entertainment. Through the Site, users may browse and watch curated film and entertainment content, register for events and screenings, and create a membership account to engage with our community.
You must be at least 18 years of age to use the Services independently. Users between 13 and 17 years of age may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Children under 13 may not use the Services or provide us with any personal information.
Certain features of the Site require you to create an account. When creating an account, you agree to provide true, accurate, current, and complete information and to update that information if it changes. You may not create an account on behalf of another person without their express authorization.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security at lfn-legal@levelforward.co. Level Forward will not be liable for any loss or damage arising from your failure to maintain account security.
You may close your account at any time by contacting us at lfn-legal@levelforward.co. Closing your account does not entitle you to a refund of any amounts previously paid.
Level Forward reserves the right to suspend or terminate your account at any time if you breach these Terms, misuse the Services, or if maintaining your access would violate applicable law. We will use reasonable efforts to notify you where feasible and where failure to do so would materially prejudice you.
Certain Services, including screening tiers, may require payment. All applicable fees will be clearly disclosed to you before purchase. By providing payment information, you authorize us or our third-party payment processor to charge the applicable fees.
Level Forward uses third-party payment processors to handle transactions. By making a purchase, you also agree to the applicable payment processor's terms and conditions. Level Forward is not responsible for errors or failures caused by third-party payment processors.
Unless otherwise stated at the time of purchase, all sales are final. If you believe you are entitled to a refund, please contact us at legal@levelforward.co within 7 days of your purchase date. Refund requests will be evaluated on a case-by-case basis.
You are responsible for all applicable taxes arising from your use of paid Services, except for taxes based on Level Forward's net income.
Level Forward reserves the right to change its fee structure at any time. Any changes will be communicated in advance and will not affect purchases already completed.
The Site and its content - including but not limited to films, text, graphics, documents, images, audio, video, and software (collectively, "Site Content") - are owned by or licensed to Level Forward and protected by applicable copyright, trademark, and other intellectual property laws. Unauthorized use of Site Content is strictly prohibited.
Subject to these Terms, Level Forward grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial purposes. This license does not include the right to: (a) reproduce, distribute, or publicly perform Site Content; (b) create derivative works; (c) reverse engineer any aspect of the Services; or (d) resell or commercially exploit any part of the Services.
The Level Forward Neighborhood name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Level Forward, Inc. or its affiliates. You may not use such marks without our prior written permission.
Level Forward respects intellectual property rights. If you believe that any content on the Site infringes your copyright, please send a written notice to lfn-legal@levelforward.co. Your notice must include: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Site; (c) your contact information; (d) a statement of good faith belief that the use is not authorized by the copyright owner; (e) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature. It is our policy to terminate the accounts of repeat infringers.
When using the Services, you agree not to:
Use the Services for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to any part of the Services or any connected system or network
Scrape, crawl, or use automated means to access or collect data from the Services without our express written permission
Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
Infringe upon the intellectual property rights of Level Forward or any third party
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Interfere with or disrupt the Services or servers or networks connected to the Services
Transmit unsolicited commercial messages (spam)
Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to all actions we take with respect to your information in compliance with the Privacy Policy. The Services may contain links to third-party websites or services. These links are provided for convenience only. Level Forward has no control over the content of those sites or services and accepts no responsibility for them or for any loss or damage that may arise from your use of them. Your interactions with third-party websites and services are solely between you and the applicable third party.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEVEL FORWARD DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (C) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEVEL FORWARD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF LEVEL FORWARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL LEVEL FORWARD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO LEVEL FORWARD IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Level Forward and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services in a manner not authorized by these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.
Before initiating any formal proceeding, you agree to first contact us at legal@levelforward.co and attempt to resolve the dispute informally. We will attempt in good faith to resolve any dispute within 30 days of receipt of your notice. If the parties cannot reach a resolution within 30 days, either party may proceed as described below.
Except as provided in Section 13.4, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that you and Level Forward each retain the right to bring an individual action in small claims court. The arbitration will take place in New York County, New York, unless you and Level Forward agree otherwise.
YOU AND LEVEL FORWARD AGREE THAT ANY ARBITRATION OR COURT PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If any court or arbitrator determines that the class action waiver in this section is void or unenforceable, the arbitration agreement will not apply and the class action must be brought in court.
Either party may seek emergency equitable relief in a state or federal court located in New York County, New York, in order to maintain the status quo pending arbitration. Claims related to intellectual property rights are not subject to arbitration and may be brought in court.
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. For any legal action not subject to arbitration, you and Level Forward consent to the exclusive personal jurisdiction of the state and federal courts located in New York County, New York.
These Terms are effective until terminated. Level Forward may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections 5, 7.4, 7.7, 10, 11, 12, and 13 will survive any termination of these Terms.
Level Forward reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Site and updating the "Last Updated" date, and where practicable, by sending an email to the address associated with your account. Your continued use of the Services following notice of changes constitutes your acceptance of the updated Terms.
These Terms constitute the entire agreement between you and Level Forward regarding the Services and supersede all prior agreements relating to the same subject matter. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not constitute a waiver. We may assign our rights and obligations under these Terms without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.
